1. Acceptance of Terms

By accessing or using the PeptidePal Provider Portal (portal.peptidepal.app) and/or the PeptidePal mobile application (collectively, the "Services"), operated by PeptidePal LLC ("PeptidePal," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a healthcare practice or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

PeptidePal provides a HIPAA-compliant platform for peptide therapy management, consisting of a web-based provider portal and a mobile patient application. Features include patient management, treatment protocol assignment, secure messaging, lab result tracking with AI-assisted analysis, appointment scheduling, medication refill management, digital consent and intake forms, and subscription billing. The Services are intended for use by licensed healthcare providers and their patients.

3. Account Registration

To use the Services, you must:

  • Be at least 18 years of age.
  • Provide accurate, current, and complete registration information.
  • Maintain the security of your account credentials.
  • Promptly notify us of any unauthorized access to your account.
  • For provider accounts: hold valid, active credentials to practice medicine or provide healthcare services in your jurisdiction.

You are responsible for all activity that occurs under your account. PeptidePal reserves the right to suspend or terminate accounts that violate these Terms.

4. HIPAA and Compliance Obligations

4.1 Business Associate Agreement

Healthcare providers using PeptidePal to manage PHI must execute a Business Associate Agreement (BAA) with PeptidePal. The BAA governs our obligations regarding PHI under HIPAA. Use of the Services for PHI without a signed BAA is prohibited.

4.2 Provider Responsibilities

As a healthcare provider using the Services, you are responsible for:

  • Obtaining proper patient consent before entering PHI into the platform.
  • Ensuring your use of the Services complies with all applicable federal, state, and local laws and regulations.
  • Managing user access within your clinic, including timely removal of departed staff.
  • Reviewing AI-generated lab analysis summaries as clinical decision-support tools, not as independent medical advice.
  • Maintaining your own independent medical judgment in all patient care decisions.

5. Subscription and Billing

5.1 Plans and Pricing

Access to the Services requires a paid subscription. Current plans and pricing are available at peptidepal.app. PeptidePal reserves the right to modify pricing with 30 days' advance notice. Price changes do not apply to the current billing cycle.

5.2 Payment Terms

Subscriptions are billed monthly in advance via Stripe. You authorize us to charge your designated payment method on a recurring basis. Failed payments may result in service suspension after a 7-day grace period. All fees are non-refundable except as required by law or as expressly stated in a promotional offer.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, you retain read-only access to export your data for 30 days, after which your account is deactivated. PHI is retained in accordance with applicable medical record retention requirements.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse-engineer, decompile, or disassemble any portion of the Services.
  • Use the Services to store or transmit malicious code.
  • Share account credentials or allow unauthorized third parties to access the Services through your account.
  • Use AI-generated analysis as a substitute for professional medical judgment.
  • Transmit patient data outside the platform in a manner that violates HIPAA.

7. AI-Powered Features

PeptidePal uses artificial intelligence (Anthropic Claude) to generate lab analysis summaries, flag abnormal values, and suggest clinical considerations. These AI features are provided as decision-support tools only and do not constitute medical advice, diagnosis, or treatment recommendations. Healthcare providers must exercise independent clinical judgment and are solely responsible for all patient care decisions. AI-generated content may contain errors and should always be verified against source data.

8. Intellectual Property

The Services, including all software, design, text, graphics, and other content, are the property of PeptidePal LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data you input into the Services. By using the Services, you grant PeptidePal a limited license to use your data solely to provide and improve the Services. We do not use your data, including PHI, to train machine learning models.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPTIDEPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) AI-GENERATED ANALYSIS OR RECOMMENDATIONS; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEPTIDEPAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI-GENERATED CONTENT IS ACCURATE OR COMPLETE.

11. Indemnification

You agree to indemnify, defend, and hold harmless PeptidePal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation, including HIPAA; or any patient care decisions made using information from the Services.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or engage in conduct we determine to be harmful to other users, us, or third parties. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability. We will provide data export capabilities for a minimum of 30 days following termination, except in cases of termination for abuse or illegal activity.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date and by notifying active users via email at least 30 days in advance. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
